1. Parties
This Co-Hosting Agreement is entered into between the Owner of the Property and the Co-Host, an independent contractor engaged to manage the Property's short-term rental operation.
2. Services
The Co-Host shall provide the agreed services, which may include: creating and maintaining the listing, managing pricing and calendar, communicating with guests, coordinating cleaning and maintenance, and handling check-in/check-out. Services not listed are excluded unless agreed in writing.
3. Compensation
The Owner shall pay the Co-Host [____% of net booking revenue] OR [a flat management fee of $______ per month], calculated and paid on the schedule set out here. "Net booking revenue" means gross payouts less platform fees and cleaning costs.
4. Payouts and Expenses
The parties shall designate who receives platform payouts and how funds are reconciled and transferred. Pre-approved operating expenses advanced by the Co-Host shall be reimbursed by the Owner with documentation.
5. Platform Access and Listing Ownership
The listing and any associated reviews remain the property of the Owner. The Co-Host is granted access solely to perform the services and shall relinquish all access on termination. Login credentials shall be handled securely.
6. Term and Termination
This Agreement continues until terminated by either party on [____ days] written notice. On termination, the Co-Host shall promptly transfer account access, guest information, and any funds due, and honor confirmed bookings through an agreed wind-down period.
7. Independent Contractor
The Co-Host is an independent contractor, not an employee, partner, or agent of the Owner, and is responsible for their own taxes. Nothing in this Agreement creates a partnership or joint venture.
8. Liability and Indemnification
Each party shall indemnify the other for losses caused by its own negligence or breach. The Owner is responsible for maintaining property insurance appropriate for short-term rental use. The Co-Host is responsible for the standard of the services provided.
